Account Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to create or control a ClosedCast account.

Adults may use ClosedCast to preserve and share family, team, church, educational, organizational, and other lawful video content that may include minors.

ClosedCast is not intended to provide independently controlled accounts to children under 13 unless ClosedCast specifically introduces a service designed to comply with applicable children's privacy requirements.

Your Content & Ownership

You retain ownership of the videos, images, descriptions, titles, metadata, and other materials that you upload to ClosedCast.

By uploading content, you grant ClosedCast, LLC and the service providers necessary to operate ClosedCast a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, encode, transcode, process, transmit, display, and deliver your content solely as reasonably necessary to provide, secure, maintain, troubleshoot, and improve the ClosedCast service.

This license does not transfer ownership of your content to ClosedCast.

Rights & Permissions

You are responsible for ensuring that you have all rights, licenses, permissions, consents, releases, and other authority necessary to upload, store, stream, and share your content through ClosedCast.

This includes, when applicable, copyright rights, music rights, performance rights, privacy rights, publicity rights, participant releases, and authorization to distribute or privately share the content.

Private storage or private sharing does not give you permission to use copyrighted or otherwise protected material that you do not have the legal right to use.

Acceptable Use

You may use ClosedCast only for lawful purposes. You may not upload, store, stream, share, transmit, distribute, or otherwise use ClosedCast for content or activity that:

• Violates applicable federal, state, local, international, or other applicable law or regulation
• Promotes, facilitates, assists, solicits, or materially supports criminal or unlawful activity
• Infringes or misappropriates copyrights, trademarks, patents, trade secrets, privacy rights, publicity rights, or other intellectual property or proprietary rights
• Is unlawfully defamatory, libelous, or otherwise violates the legal rights of another person or organization
• Contains child sexual abuse material or otherwise sexually exploits or abuses a minor
• Facilitates child enticement, child sexual exploitation, human trafficking, or other exploitation
• Contains nonconsensual intimate imagery or unlawfully created or distributed intimate deepfakes, synthetic media, or AI-generated intimate imagery
• Contains pornography or sexually explicit content intended primarily for sexual gratification
• Unlawfully exposes, publishes, distributes, or discloses sensitive personal, confidential, financial, medical, identifying, or private information belonging to another person
• Threatens unlawful violence, unlawfully incites violence, facilitates violent criminal activity, or exploits violence in violation of applicable law
• Is intended to defraud, deceive, scam, impersonate, or obtain money, credentials, property, or information through fraudulent means
• Contains, distributes, facilitates, or directs users to malware, spyware, ransomware, viruses, worms, destructive code, credential-stealing software, phishing material, or other malicious technology
• Attempts to gain unauthorized access to another account, computer, device, network, service, API, database, or system
• Attempts to probe, scan, damage, disable, overload, disrupt, interfere with, or compromise ClosedCast or infrastructure used to provide ClosedCast
• Attempts to bypass, evade, defeat, manipulate, or circumvent authentication, access controls, rate limits, API limits, upload limits, account restrictions, content restrictions, moderation systems, abuse-detection systems, safety systems, security controls, or other technical protections
• Uses automation, scripts, bots, software, or other mechanisms in a manner that materially interferes with the operation, security, availability, or intended use of ClosedCast

Content Safety Tools & Automated Detection

ClosedCast may use automated systems, hashing technologies, artificial intelligence, machine-assisted analysis, abuse-detection systems, third-party content-safety services, human review, or combinations of these methods to identify potentially prohibited, unlawful, abusive, dangerous, or suspicious content or activity.

These systems and services are tools used to assist ClosedCast and may produce false positives, false negatives, incomplete results, technical errors, or incorrect classifications.

ClosedCast does not represent or warrant that any automated, human-assisted, or third-party content-safety system will identify every violation, correctly classify every item of content, or operate without interruption or error.

An automated detection, safety signal, external report, third-party notification, infrastructure-provider notice, or similar indication may trigger review, temporary restriction, preservation of relevant information, or investigation.

Such a detection or report does not by itself necessarily establish that a violation occurred.

ClosedCast may use internal review or a qualified third-party organization, specialist, content-safety provider, forensic reviewer, compliance provider, or other qualified reviewer to determine the appropriate response.

The use or availability of content-safety technology does not relieve any user of responsibility for complying with these Terms and applicable law.

No Approval by Detection or Inaction

ClosedCast's failure to detect, identify, flag, investigate, restrict, disable, or remove content does not constitute approval, endorsement, authorization, certification, or a determination that the content complies with these Terms or applicable law.

The fact that content passes through an automated scanning, moderation, safety, hashing, artificial intelligence, machine-assisted, or review system without being flagged does not mean that ClosedCast has reviewed, approved, licensed, authorized, or determined the legality of that content.

Child Safety & Exploitation

ClosedCast has zero tolerance for child sexual abuse material, sexual exploitation of children, child enticement, child trafficking, or other unlawful exploitation of minors.

A child-safety review may be triggered by a human report, automated detection, internal review, third-party service, external organization, law enforcement agency, child protection organization, infrastructure provider, or other internal or external source.

If information concerning suspected child exploitation or unlawful activity involving a minor is brought to our attention or detected, ClosedCast may immediately restrict access to the affected content or account, preserve relevant records and technical information, and initiate an internal or qualified third-party review.

Where required by applicable law, ClosedCast will report apparent violations involving child sexual exploitation to the National Center for Missing & Exploited Children (NCMEC), including through the NCMEC CyberTipline.

Nonconsensual Intimate Images & TAKE IT DOWN Requests

You may not upload or distribute intimate images or videos of another person without the consent or other lawful authority required for that use.

This prohibition also applies to qualifying digitally altered, synthetic, AI-generated, or deepfake intimate depictions.

A depicted person or authorized representative may report qualifying nonconsensual intimate material through the ClosedCast Contact page.

ClosedCast may also act when potentially nonconsensual intimate material is identified through automated detection, internal review, a third-party service, an external organization, infrastructure provider, or another source.

Where applicable law requires removal within a particular period, including requirements applicable under the federal TAKE IT DOWN Act, ClosedCast will act on a valid request as soon as reasonably possible and within the legally required period.

ClosedCast may disable access to reported or detected material while a request or review is pending and may make reasonable efforts to identify and restrict known identical copies where required by applicable law.

Content Responsibility

You are responsible for the content you upload, stream, organize, transmit, and share through ClosedCast.

ClosedCast does not routinely pre-screen or manually review every customer video before it is stored or streamed.

However, ClosedCast may initiate a review based on information obtained, reported, generated, referred, or detected from any source.

Sources may include human reports, automated processes, internal systems, artificial intelligence or machine-assisted tools, third-party services, content-safety providers, infrastructure providers, government agencies, law enforcement, child protection organizations, safety organizations, other platforms, or other external sources.

ClosedCast reserves the right to investigate reported or detected violations, either internally or through a qualified third-party organization or reviewer, review information reasonably necessary to address abuse or security concerns, restrict access to content, preserve information, or take other appropriate action when necessary to comply with these Terms, applicable law, valid legal process, or requirements of service providers used to operate ClosedCast.

Copyright & DMCA

ClosedCast respects intellectual property rights and prohibits users from uploading or sharing material that infringes another person's copyright.

Copyright owners or their authorized representatives may submit copyright infringement complaints through the ClosedCast Contact page or any designated copyright reporting method published by ClosedCast.

A copyright complaint should identify the copyrighted work, identify the material claimed to be infringing, provide enough information for ClosedCast to locate the material, provide contact information for the complaining party, and include statements and signatures required by applicable copyright law.

ClosedCast may remove or disable access to allegedly infringing material in response to a valid notice and may provide an appropriate counter-notification procedure consistent with the Digital Millennium Copyright Act.

ClosedCast maintains a policy of terminating, in appropriate circumstances, accounts of users who are determined to be repeat copyright infringers.

Content Removal & Enforcement

ClosedCast may take action against specific content without necessarily suspending an entire customer account.

Depending on the circumstances, ClosedCast may:

• Disable playback of a video
• Disable or revoke sharing access
• Quarantine or restrict access to content
• Remove content
• Temporarily restrict uploads or other functionality
• Preserve relevant records where legally permitted or required
• Refer content, detections, reports, or technical information to a qualified third-party reviewer
• Use automated or machine-assisted tools to support review or detection
• Cooperate with appropriate safety organizations, child protection organizations, regulatory authorities, or law enforcement
• Suspend an account
• Terminate an account for serious or repeated violations

ClosedCast may act immediately when necessary to address unlawful material, child safety concerns, security threats, credible safety reports, automated safety detections, valid legal requirements, serious abuse, or circumstances that could place ClosedCast or its service providers at material legal, security, or operational risk.

Cloud, Streaming & Infrastructure Providers

ClosedCast relies on third-party infrastructure providers for functions including video encoding, streaming, storage, content delivery, networking, payments, communications, security, content safety, abuse detection, and related platform operations.

Content processed through ClosedCast must not be used in a manner that would cause ClosedCast to violate applicable law or applicable service requirements imposed by providers whose infrastructure is necessary to operate ClosedCast.

ClosedCast may receive abuse notices, policy notifications, technical findings, security alerts, automated detections, content reports, or other information from infrastructure, hosting, streaming, security, payment, communications, content-safety, or technology providers.

ClosedCast may investigate and take reasonable action in response to such information, including restricting or removing individual content where reasonably appropriate to resolve an issue without unnecessarily suspending an otherwise compliant account.

ClosedCast may restrict, disable, investigate, or remove content when reasonably necessary to cure or prevent a violation involving an infrastructure, streaming, hosting, payment, communications, security, content-safety, or technology provider.

Privacy & Video Viewing Data

ClosedCast is built for private streaming experiences and controlled sharing.

We do not sell your uploaded videos, personal information, or identifiable video viewing history to advertisers or data brokers.

ClosedCast does not use identifiable private-video viewing history for behavioral advertising or to allow advertisers or sponsors to influence which private videos you see.

ClosedCast may process account information, device information, playback information, viewing activity, technical logs, detection results, and related operational information when reasonably necessary for:

• Providing video playback and private sharing
• Account and device administration
• Security and authentication
• Fraud and abuse prevention
• Content-safety and compliance investigations
• Automated safety and abuse detection
• Quality assurance and performance monitoring
• Customer support and troubleshooting
• Aggregate or de-identified analytics
• Legal and regulatory compliance
• Operating and improving the ClosedCast service

Third-Party Processing

Uploaded videos and related information may be processed and delivered using third-party cloud infrastructure providers required to operate ClosedCast.

These providers may include services used for video streaming, storage, encoding, content delivery, networking, email, security, payment processing, content safety, abuse detection, and similar operational functions.

ClosedCast may also use qualified third-party organizations, specialists, content-safety providers, compliance providers, forensic reviewers, automated detection providers, or other qualified reviewers to investigate reported or detected content or activity when ClosedCast determines that such review is appropriate.

Access provided to such third parties will be limited to information reasonably necessary for the applicable service, review, investigation, detection, safety response, or legal obligation, subject to applicable law and appropriate confidentiality and security measures.

No Internet-based service can guarantee absolute security, uninterrupted availability, or permanent preservation of data.

Private Sharing

ClosedCast provides tools for private sharing with invited or authorized viewers, including families, organizations, churches, coaches, teams, customers, and other trusted audiences.

You are responsible for deciding who receives access to your content. Anyone granted access may be able to view or stream that content on supported devices while their authorization remains active.

ClosedCast cannot guarantee that an authorized viewer will not independently record, photograph, copy, or otherwise capture content displayed to them.

Account & Device Security

You are responsible for maintaining the confidentiality of your account credentials, linked devices, API credentials, access tokens, and sharing permissions.

ClosedCast may use authentication cookies, device identifiers, access controls, security logs, rate limiting, monitoring systems, automated detection systems, and other reasonable technical measures to maintain platform reliability, support devices such as Roku, and prevent unauthorized access or abuse.

You should notify ClosedCast promptly if you believe your account, device authorization, API credentials, access tokens, or other credentials have been compromised.

Legal Process, Reports & Law Enforcement Cooperation

ClosedCast takes credible reports, detections, referrals, and other indications of potentially unlawful or dangerous activity seriously.

Such information may originate from a human being, an automated process, ClosedCast's own systems, a third-party organization or service provider, a child protection organization, law enforcement, a government agency, an infrastructure provider, another platform, or any other internal or external source.

When information indicating possible criminal or unlawful activity is brought to our attention or detected, ClosedCast may investigate the matter internally or through a qualified third-party organization or reviewer and may cooperate with appropriate law enforcement, child protection authorities, child protection organizations, regulatory authorities, or other appropriate organizations as permitted or required by law.

Cooperation may include restricting or removing content, suspending access, preserving relevant account records, logs, content, device information, detection results, or other evidence, referring material for qualified review, and responding to lawful requests for information.

ClosedCast may preserve or disclose information when required or permitted by applicable law, including in response to valid subpoenas, warrants, court orders, preservation requests, emergency requests, or other lawful legal process.

ClosedCast does not provide private customer videos or account information merely because a person requests them or identifies themselves as a government official.

Requests for private customer information are evaluated for appropriate legal authority except where applicable law permits emergency disclosure or otherwise authorizes disclosure.

Billing, Cancellation & Refunds

Subscription charges are billed according to the plan and billing cycle selected at purchase.

Except where required by applicable law or expressly stated otherwise, payments are final and non-refundable.

You may cancel your subscription at any time. Unless otherwise stated, paid access will continue through the end of the active billing period.

Service Availability & Preservation

ClosedCast is designed to provide reliable private video storage and streaming, but no online service can guarantee uninterrupted operation or permanent preservation of data.

You should maintain independent copies of videos that are irreplaceable, legally required, historically significant, or otherwise critical.

Disclaimer of Warranties

To the maximum extent permitted by applicable law, ClosedCast and all features, tools, content-safety systems, APIs, applications, streaming services, storage services, and related functionality are provided on an "as is" and "as available" basis.

ClosedCast, LLC makes no warranty that the service will be uninterrupted, error-free, completely secure, permanently available, free from data loss, or capable of detecting every instance of prohibited or unlawful content.

ClosedCast does not warrant the accuracy, reliability, completeness, or effectiveness of automated detection, content-safety, moderation, hashing, artificial intelligence, machine-assisted, or third-party review systems.

To the maximum extent permitted by law, ClosedCast disclaims implied warranties including merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing or usage of trade.

Limitation of Liability

To the maximum extent permitted by applicable law, ClosedCast, LLC and its officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to access to, use of, inability to use, interruption of, or reliance upon ClosedCast.

This limitation applies regardless of whether a claim is based on contract, warranty, tort, negligence, statute, strict liability, or another legal theory, and regardless of whether ClosedCast was advised of the possibility of such damages.

This includes, to the extent permitted by law, damages arising from service interruptions, content removal or restriction, account suspension, data loss, unauthorized access, third-party conduct, content-safety detections, automated review results, false positives, false negatives, failure of a content-safety system to detect prohibited material, or actions taken in response to an abuse, security, compliance, or safety investigation.

To the maximum extent permitted by applicable law, the aggregate liability of ClosedCast, LLC for claims arising out of or relating to the service will not exceed the amount you paid to ClosedCast during the twelve months immediately preceding the event giving rise to the claim.

If you have not paid ClosedCast during that twelve-month period, ClosedCast's aggregate liability will not exceed one hundred U.S. dollars ($100).

Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded under applicable law.

Your Responsibility for Claims

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless ClosedCast, LLC and its officers, employees, contractors, affiliates, and service providers from third-party claims, liabilities, damages, judgments, losses, and reasonable costs and expenses arising from or relating to:

• Content you upload, store, stream, transmit, distribute, or share
• Your violation of these Terms
• Your violation of applicable law
• Your infringement or violation of another person's rights
• Your use or misuse of ClosedCast
• Content uploaded, transmitted, or shared through your account, credentials, API keys, devices, or authorized users

Account Suspension & Termination

ClosedCast may suspend or terminate an account that violates these Terms, repeatedly infringes intellectual property rights, engages in unlawful activity, threatens platform security, abuses the service, attempts to evade enforcement, or creates significant legal or operational risk.

Where reasonably appropriate, ClosedCast may attempt to address a violation by restricting or removing affected content rather than suspending the entire account.

Serious violations, child exploitation material, malicious activity, significant security abuse, repeated violations, deliberate evasion of safety controls, or circumstances requiring immediate action may result in suspension or termination without advance notice.

Changes to These Terms

ClosedCast may update these Terms from time to time to reflect changes in the service, applicable law, security requirements, technology, infrastructure providers, content-safety practices, or business operations.

Material changes may be communicated through the website, account interface, email, or another reasonable method.

Continued use of ClosedCast after updated Terms become effective constitutes acceptance of the revised Terms.
